This Subscription Agreement ("Agreement") is entered into between Thinkneo AI Technology Company Limited, a Hong Kong company (Company Registration Number: 3349494) ("ThinkNEO"), and the customer organization identified in the signature block below (the "Customer"), and governs the Customer's subscription to and use of SmartCampaign (the "Service").

This Agreement incorporates by reference the Terms of Use and Privacy Policy as in effect on the date of acceptance.

1. Subscription

ThinkNEO grants the Customer a non-exclusive, non-transferable subscription to use the Service for the Customer's elective campaign operations, in accordance with this Agreement, the Terms of Use, and the Privacy Policy.

The Service includes both operational features (calendar, tasks, documents, messaging, briefing dashboard, role-based access control) and intelligence features (AI chat assistant, public-news monitoring, competitor agenda aggregation, polling aggregation, rapid-response draft generation). Access to specific features is governed by the role assigned to each User by the Customer's administrator.

The Service operates under two open governance protocols published by ThinkNEO: AIRGP (AI Risk Governance Protocol, airgp.space) and A2ASTC (Agent-to-Agent Secure Trust Communications, a2astc.space). All AI inferences and inter-service communications within the Service are subject to runtime policy enforcement, complete audit logging, and observability under these openly published protocols.

2. Tenant, seats, and roles

The Customer's subscription provides access to a single dedicated tenant within the Service. The Customer may allocate seats to authorized Users up to the maximum number permitted by the subscription plan selected. Additional seats may be purchased at any time at the prevailing rate. The Customer's administrator assigns each User a role that determines access to operational and intelligence features.

3. Term and renewal

This Agreement begins on the date of acceptance and continues for the subscription term selected at checkout (monthly or annual). The Agreement automatically renews for successive periods of the same length unless either party gives notice of non-renewal at least 30 days before the end of the then-current term.

5. Customer Data, AI Outputs, and ownership

The Customer retains all rights to data uploaded or input into the Service ("Customer Data"). ThinkNEO will process Customer Data only as necessary to provide the Service and as set out in the Privacy Policy. AI Outputs generated within the tenant belong to the Customer, subject to the underlying AI provider's terms (especially under BYOK), to the limitations applicable to AI-generated content under the Customer's jurisdiction, and to the Acceptable Use of AI Features in the Terms of Use. Upon termination, the Customer may export Customer Data and AI Outputs within 90 days; thereafter, both will be deleted, except as required by law.

Customer is the publisher. The Service generates draft content for review. The Customer decides what to publish, send, or act upon. The Customer remains the editorial and legal author of any content it derives from the Service.

7. Service availability

ThinkNEO uses commercially reasonable efforts to maintain the Service. The Service is provided on a best-effort basis. ThinkNEO will provide reasonable advance notice of scheduled maintenance.

Each party will protect the other party's confidential information with the same care it uses for its own confidential information, and not less than reasonable care. This obligation continues for three (3) years after termination of this Agreement.

The Customer will defend and indemnify ThinkNEO from any third-party claim arising out of (a) the Customer's use of the Service or any AI Output in violation of this Agreement, (b) Customer Data, (c) any content the Customer publishes, transmits, or acts upon, including content derived from AI Outputs, or (d) the Customer's violation of any law or third-party right.

13. Governing law and dispute resolution

This Agreement is governed by the laws of the Hong Kong Special Administrative Region. Any dispute will be submitted to the exclusive jurisdiction of the courts of Hong Kong, except that ThinkNEO may seek injunctive relief in any jurisdiction to protect its intellectual property or confidential information.

14. Electronic signature

The Customer acknowledges and agrees that this Agreement may be executed by electronic means, including by typing the authorized signatory's full legal name and ticking the confirmation checkboxes below. Such electronic acceptance has the same legal effect as a handwritten signature and is valid and enforceable under the Electronic Transactions Ordinance (Cap. 553) of Hong Kong and equivalent legislation in the Customer's jurisdiction.
